Forming your LLC isn't a one-time event. Oregon law requires every active LLC to file an Annual Report with the Secretary of State each year to confirm your LLC's information and pay the state renewal fee.

It's not complicated — the form confirms your current registered agent, principal address, and member information. But it has to be filed on time, every year, or your LLC starts down a path toward dissolution that can be difficult and expensive to reverse.

Oregon Annual Reports are due on the anniversary of your LLC's formation date — the date your Articles of Organization were approved by the Secretary of State. For example, if your LLC was formed on March 15, your Annual Report is due by March 15 each year. The SOS sends a renewal notice approximately 45 days before the deadline to your Registered Agent address. If you're with Wayfinder, we receive that notice and handle everything.

It's not a financial report — the state isn't asking about revenue or profits. It's simply a confirmation that your LLC still exists and that its public record is accurate.
