The Oregon Secretary of State typically processes Articles of Organization within 2–3 business days. Once you complete our intake form, we file within one business day. For same-day processing, Wayfinder can hand-deliver your filing to the Salem SOS office — available as a $75 add-on.
You can file directly at the Oregon SOS website for $100. Wayfinder adds accuracy review, handles the submission, serves as your Registered Agent from day one (so your personal address stays out of the registered agent field), and delivers everything to a secure portal. We also handle any corrections or follow-up if the SOS has questions.
Oregon doesn't legally require one, but it's strongly recommended — especially if you have multiple members. For single-member LLCs, Wayfinder includes a standard operating agreement as part of your formation package. For multi-member LLCs, the agreement needs to reflect each member's ownership, decision-making rights, and exit terms — we'll refer you to an Oregon attorney we trust, and can coordinate alongside them throughout the process. Most small business owners use a service like Wayfinder so their home address isn't listed publicly and they don't have to worry about missing something important.
Yes. Changes like your LLC name, address, or registered agent can be made with the Oregon SOS through an Amendment filing. If you're a Wayfinder client, we handle minor updates at no extra charge. Contact us and we'll sort it out.
No — Wayfinder is not a law firm and does not provide legal advice. We handle the administrative and compliance side of Oregon business formation. For legal questions about your LLC structure, contracts, or liability, we're happy to connect you with Oregon-licensed attorneys we trust.
Once your LLC is approved, you'll receive your confirmation and documents in your Wayfinder portal. Your EIN is obtained as part of your formation package — we collect your SSN by phone to apply with the IRS, and we do not retain it. After that, your typical next steps are: open a business bank account using your LLC confirmation and EIN; set up your bookkeeping; and file your Oregon Annual Report each year (we handle this automatically if you're on the compliance package).
Yes — local jurisdiction research is included in every formation package at no extra charge. Forming an LLC with the Oregon Secretary of State is a state-level filing, but many Oregon cities and counties also require a separate local business license or tax registration. We research what applies to your specific city and county and tell you exactly what's needed.
