Oregon Registered Agent

Your Registered Agent
address is ours.
Not yours.

Oregon requires every LLC to have a Registered Agent with a physical address on public SOS records. The basics

What a Registered Agent actually does

Oregon law requires every LLC to designate a Registered Agent — a person or company with a physical Oregon address that is available during normal business hours to receive official correspondence on behalf of the LLC.

The Registered Agent's address appears in the Oregon Secretary of State's public database. Anyone can look it up. That's why most business owners don't use their home address — they'd rather not have it listed publicly alongside their LLC name.

The primary job of a Registered Agent is to receive and promptly forward anything addressed to your LLC — especially anything time-sensitive, like a lawsuit (service of process) or a notice from the state. Missing one of those can have real consequences.

Important: Your Registered Agent must have a physical Oregon address — a P.O. box doesn't qualify. And someone must be available there during business hours, every business day. For most small business owners, a service like Wayfinder is the practical solution.

What comes through your Registered Agent

⚖️
Service of process
If your LLC is named in a lawsuit, the legal documents are served to your Registered Agent. We accept them and notify you immediately.
📬
State and government mail
Notices from the Oregon Secretary of State, Oregon Department of Revenue, and other agencies come through your Registered Agent address.
📋
Annual Report reminders
Oregon sends renewal notices to your Registered Agent. We make sure they reach you in time — missing a deadline puts your LLC at risk of dissolution.
🔔
Compliance notices
Any official notice about your LLC's standing, required filings, or pending issues comes through us — and gets to you fast.

DIY vs. Wayfinder

Why most Oregon business owners use a service

You can legally be your own Registered Agent in Oregon. Here's what that actually looks like in practice.

Being your own Registered Agent

Cheaper upfront — but with real trade-offs

  • Your home or business address is publicly listed on Oregon SOS records
  • You must be physically available at that address during all business hours
  • If you're ever sued, legal documents arrive at your front door — in front of family, employees, or neighbors
  • If you miss a state notice, you may not find out until your LLC is already in bad standing
  • Moving your business means updating SOS records yourself or risking missed mail
  • No reminders — you're responsible for tracking your own compliance deadlines

Wayfinder as your Registered Agent

$100/year for real peace of mind

  • Wayfinder's Lake Oswego address as your registered agent — not yours
  • We're available during all Oregon business hours, every business day
  • Legal documents received professionally and forwarded to you promptly
  • All state mail and compliance notices tracked and forwarded via your portal
  • Annual Report reminders sent before deadlines — never miss a filing
  • Add Annual Compliance ($200/yr) for Wayfinder's address across all SOS records

Yes. Oregon law requires every LLC to maintain a Registered Agent with a physical Oregon address at all times. If your LLC doesn't have one — or if your agent's address becomes invalid — your LLC risks falling out of good standing with the state, which can eventually lead to administrative dissolution.
Yes, as long as you have a physical Oregon address and are available there during all regular business hours. Most business owners choose not to for two reasons: practicality (you can't always be at a fixed address during business hours, and service of process at your front door is uncomfortable) and partial privacy (your home address ends up in the registered agent field of public SOS records). Wayfinder's $100/year service handles both — your address stays out of the RA field. For full address privacy across all SOS records, add our Annual Compliance package ($200/yr).
We receive it, log it, and notify you promptly. Time-sensitive documents — like service of process — get immediate attention. Routine correspondence is scanned and delivered to your Wayfinder portal, where you can access it anytime. Nothing gets lost and nothing sits in a pile unaddressed.
Service of process is the formal delivery of legal documents to notify your LLC that it's involved in a lawsuit. It's a time-sensitive event — you typically have a limited window to respond. When we receive service of process on your behalf, we notify you the same day so you can contact your attorney immediately. We do not provide legal advice or respond on your behalf.
Fill out our intake form and we handle the rest. We file a Registered Agent change with the Oregon Secretary of State, update your records, and set you up in the Wayfinder portal. The SOS processes these changes quickly — typically within a few business days. Your current agent is notified automatically through the SOS system.
Yes. Whether your LLC was formed by Wayfinder, by another service, by an attorney, or by yourself directly through the Oregon SOS — we can serve as your Registered Agent. The only requirement is that it's an Oregon-registered entity.
You can cancel at any time. If you cancel, you'll need to designate a new Registered Agent before your service ends — Oregon requires an active one at all times. We'll remind you of this and help make the transition smooth. No cancellation fees.
