Oregon LLC Formation

Registered Agent Service
Every Oregon LLC must designate a registered agent with a physical Oregon address to receive legal and government correspondence. Wayfinder's address goes on the public SOS record — not yours. We receive, log, and forward everything promptly, with priority handling for service of process.

Annual Report Filing
Oregon requires every active LLC to file an Annual Report each year to maintain good standing. Miss it and your LLC faces late fees, delinquency status, and eventual dissolution. Wayfinder tracks your deadline and files before it — every year, automatically. The Annual Compliance package includes Registered Agent service.

Local compliance — City & county
Business License Research & Filing
Forming an LLC with the state doesn't satisfy local jurisdiction business license requirements — cities and counties set those separately, and they're distinct from state professional or trade licenses. Wayfinder researches whether your city and county require a license for your business type, then handles the application if needed. Research is included with LLC formation ($0 extra); standalone research is $75 flat. Application filing is billed at $25/15 min with an estimate provided before work begins.

State filing — Standalone or add-on
Assumed Business Name Registration
If your Oregon LLC or sole proprietorship operates under a public-facing name that differs from its legal name, that name must be registered with the Oregon SOS. Wayfinder checks availability and files the registration — whether you're pairing it with LLC formation, adding it to an existing entity, or registering a DBA as a sole proprietor. Registrations renew every two years.

In-Person SOS Filing — Salem
Wayfinder hand-delivers your filing to the Oregon Secretary of State office in Salem. Filed in person, it processes the same business day — no online queue, no multi-day wait. Available for any SOS filing. New LLC formations typically process in 2–3 business days online, but same-day certainty is available if your timing is tight.

In-person SOS filing

Filed in Salem. Processed same day.

Most Oregon SOS filings submitted online are processed within a few business days. For clients who can't afford to wait — a lease contingency, a financing deadline, an urgent business name dispute, or any other time-sensitive situation — Wayfinder can hand-deliver your filing to the Secretary of State's office in Salem.

In-person filings are reviewed and processed the same business day they're submitted, before you leave the building. You get confirmation faster, with none of the uncertainty of the online queue.

Wayfinder handles the trip — you don't need to go anywhere. File the intake form, we prepare your documents, drive to Salem, and deliver your SOS confirmation to your portal the same day.

A Wayfinder team member drives to the Oregon Secretary of State office at 255 Capitol St NE, Salem. The filing is presented at the public counter, processed the same day, and confirmation is delivered to your Wayfinder portal.
